Meeting Minutes

February 2009

Purpose

The TDIC/TDIC Insurance Solutions Boards of Directors develop policies, procedures and regulations for the operation of TDIC/TDIC Insurance Solutions. They also monitor and set policy relative to the finances of TDIC/TDIC Insurance Solutions and adopt policy regarding their programs and services.

Primary Duties

The duties and obligations include:

To employ a chief executive officer and fix his/her compensation
To approve an annual budget, monitor and set policy relative to the finances
To conduct an annual review of the president/CEO
To develop policies, procedures and regulations for the operation of TDIC/TDIC Insurance Solutions
Conduct due diligence relative to prospective endorsed programs

Time Requirements

Participation in the following meetings is expected:

Quarterly board meetings held on weekdays
Possible participation on a TDIC or TDIC Insurance Solutions committee, with meetings the day prior to quarterly board meetings
Long range planning meetings held every two years
Occasional conference calls required to conduct business in between board meetings

Qualifications, Special Skills and Knowledge

Analytical and strategic abilities
Ability to work in groups and collaborate
Comfortable asking questions in a group
Visionary, have courage to push for change, innovative thinkers
Background outside of dentistry, i.e. business, economics, finance, boardroom experience, is helpful
Conscientious to read the materials and come prepared for the meeting

Composition and Terms of Office

The board of directors shall include three nondentist-nonemployee members, two trustees, the CDA executive director, CDA secretary, CDA treasurer and CDA vice president. The board also includes the president/chief executive officer as ex officio, without the right to vote.

One-year term with eligibility to serve a maximum of six years, in addition to any portion of a term appointed to by the boards.
