Mission Statement
In general terms, a director shall serve as a member of the fiduciary body of the CDA Foundation, vested with the authority to conduct the business of the corporation within the policies established by the Board of Directors. Directors are voting members of the board and shall be willing to raise funds and develop policies and procedures to ensure the effective operation of the CDA Foundation.
Primary Duties
Specific duties may include, but are not limited to:
- Be actively involved in the development of policies, programs, and funding priorities
- Publicly share and support the CDA Foundation’s vision, mission and philosophy
- Actively solicit and secure financial support for the CDA Foundation’s priorities
- Personally support the CDA Foundation financially minimally at the $1,000 level or higher.
- Ensure the CDA Foundation’s efforts have acceptable purpose, direction, and clearly support the mission and philosophy of the California Dental Association
- Elect and remove all officers of the corporation
- Prescribe powers and duties for the Executive Committee and Committees of Directors
- Evaluate the Executive Director
- Ensure the work of the Foundation is not jeopardized by the risks to which its financial or human resources and public image are exposed
- Review and participate in the short and long-term strategic planning process and approving the budget prepared by staff
Time Requirements
- Board meetings: 4 one-day meetings
- Conference calls: Occasional/as needed
Qualifications, Special Skills and Knowledge
- Have strength and experience in development (grants and fundraising)
Composition and Terms of Office
The board shall consist of designated directors appointed by the CDA Board of Trustees to include: one who is currently serving as a member of the CDA Executive Committee; two who are currently serving as trustee members of the CDA Board of Trustees; one who is the person currently serving as the CDA executive director; and five to 11 at-large directors. A director need not be a member of the California Dental Association nor a dentist.
The term of office for at-large directors shall be three years. At-large directors may serve up to two consecutive terms. The immediate past chair of the board shall serve a one year term as a non-voting ex officio director. The remaining directors shall be designated or appointed annually and may serve unlimited consecutive terms.
