Member, TDIC/TDIC Insurance Solutions Boards of Directors
Reports To
Chair, TDIC/TDIC Insurance Solutions Board of Directors
Purpose
To serve as a member of the managing/fiduciary body of The Dentists Insurance Company (TDIC) and TDIC Insurance Solutions. TDIC/TDIC Insurance Solutions is vested with the authority to conduct business within the policies established by the boards and California Dental Association. To serve as a voting member, and to develop policies, procedures and regulations for the operation of TDIC/TDIC Insurance Solutions. To monitor and set policy relative to the finances of TDIC/TDIC Insurance Solutions and to adopt policy regarding their programs and services. To conduct due diligence relative to prospective endorsed programs.
Term
One-year term with eligibility to serve a maximum of six years, in addition to any portion of a term appointed to by the boards.
Expected Meeting Attendance
Participation in the following meetings is expected:
♦ Quarterly board meetings held on weekdays
♦ Long range planning meetings held every two years
♦ Occasional conference calls required to conduct business in between board meetings
Duties & Obligations
The duties and obligations include:
♦ To employ a chief executive officer and fix his/her compensation
♦ To annually elect officers
♦ To approve an annual budget
♦ To conduct an annual review of the president/CEO
